Operating Entity: Softassure Technologies Ltd. ("Certyco", "we", "us")

By accessing or using Certyco's website or services (the “Platform”), you agree to these Terms & Conditions (the “Terms”). If you do not agree, do not use the Platform.

1. What Certyco Is (and Is Not)

Certyco is a verification platform where Professionals are evaluated through structured interviews conducted by independent Industry Experts. Certyco produces standardized evaluation outputs (the 4D Scorecard, Certyco Mark, and written feedback) that may be used by Hiring Partners to inform hiring decisions.

Certyco is not:

  • a job board (we do not require or host job postings)
  • a recruiter or staffing agency
  • an employer of Professionals or Industry Experts
  • a guarantor of outcomes (we do not guarantee interviews, jobs, offers, or hires)

Hiring decisions remain solely the responsibility of Hiring Partners.

2. Platform Phases and Feature Availability

Certyco is released in phases. The Platform is currently in Early Access.

Currently Available

  • Account creation (all roles) via email and password, or OAuth (Google, LinkedIn, Microsoft)
  • Email verification (standard email for all users; corporate email verification for Industry Experts and Hiring Partners)
  • Profile creation and management (Professional: 10 sections, Industry Expert: 11 sections, Hiring Partner: 4 sections)
  • AI Resume Import for Professionals and Industry Experts (PDF/DOCX text extraction with AI-powered parsing)
  • Profile onboarding with completion tracking
  • Support page

Planned for MVP Phase 1 (May 2026)

  • Evaluation interviews and 4D Scorecard scoring
  • Interview recordings (with consent)

You acknowledge that:

  • Feature availability may change over time
  • Some features referenced on the Platform may not yet be live
  • Your use is subject to the Platform's current functionality at the time you use it
  • No guarantee is made regarding specific feature timelines or launch dates

3. Key Definitions

  • Professional: a user seeking interview-based evaluation and verification.
  • Industry Expert: an independent industry expert conducting evaluations on the Platform.
  • Hiring Partner: an organization representative accessing verified Professional profiles.
  • 4D Scorecard: Certyco's evaluation framework measuring Technical Skills, Domain Expertise, Platform Expertise, and Behavioral Skills.
  • Evaluation Output: ratings, Certyco Marks (Mark I / Mark II / Mark III), 4D Scorecard results, and written evaluation feedback produced from the evaluation process.
  • Certyco Mark: a verification tier awarded based on the overall evaluation score. Mark III is awarded for scores of 4.5 and above, Mark II for 4.0 and above, and Mark I for 3.5 and above. Scores below 3.5 complete the evaluation but no Mark is awarded.
  • Unlocking: the action by which a Hiring Partner gains access to a Professional's personal and contact details, subject to Certyco rules and Professional controls.
  • Recording: audio/video capture of an evaluation interview, conducted only with explicit consent.
  • AI Resume Import: the feature allowing users to upload a PDF or DOCX resume for AI-powered parsing and profile population.
  • Early Access: the current platform phase in which a limited set of features is available, prior to the full MVP launch.

4. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding contract to use the Platform.

Account Creation

You may create an account using email and password, or by signing in with Google, LinkedIn, or Microsoft through OAuth. By signing in via an OAuth provider, you acknowledge and accept the respective provider's terms of service and privacy policy.

Industry Experts and Hiring Partners are additionally required to verify a corporate email address after account creation. Email verification is required for account activation for all users.

Account Responsibilities

You agree to:

  • provide accurate, current information
  • maintain the confidentiality of your login credentials
  • notify us if you suspect unauthorized access to your account
  • not create multiple accounts for the same individual

We may suspend or terminate accounts for violations of these Terms, suspected fraud, or misuse.

5. User Responsibilities by Role

5.1 Professionals

Professionals agree to:

  • provide truthful information in profiles and materials
  • participate in interviews professionally and in good faith (when evaluation features launch)
  • not misrepresent identity, work history, or skills
  • comply with consent requirements for interviews and recordings (Section 6) (when evaluation features launch)
  • review and confirm the accuracy of all data imported via AI Resume Import before applying it to their profile
  • not upload fraudulent, falsified, or third-party resumes through AI Resume Import

5.2 Industry Experts

Industry Experts agree to:

  • evaluate fairly and independently
  • follow Certyco's evaluation framework and policies
  • avoid conflicts of interest and comply with integrity restrictions (Section 8)
  • not share Professional information outside the Platform except as permitted
  • verify their corporate email address during account setup

5.3 Hiring Partners

Hiring Partners agree to:

  • use Platform information for legitimate hiring-related purposes only
  • not discriminate unlawfully or misuse candidate information
  • not scrape, reverse engineer, or attempt to de-anonymize users
  • respect Professional controls, permissions, and consent requirements (including recording access)
  • verify their corporate email address during account setup

6. Interviews, Recordings, and Consent

This section describes functionality planned for MVP Phase 1 (May 2026). Interview and recording features are not active during Early Access.

6.1 Consent for Recording (Operational Consent)

If recording is enabled for an interview, Professionals must provide consent:

  • during scheduling, and
  • again immediately before recording begins

If you do not consent, the interview may not proceed in recorded form, and Certyco may limit or prevent the evaluation process.

6.2 Consent for Sharing/Access (Distribution Consent)

Separately from recording consent, sharing recordings with Hiring Partners requires explicit, secondary consent from the Professional.

6.3 Who Can Access Recordings

Unless Certyco states otherwise:

  • Professional: may access their recording (subject to Platform controls)
  • Industry Expert: may access the recording only for 24 hours after the interview for evaluation purposes
  • Certyco Admins: may have access for operational integrity, dispute handling, fraud prevention, and quality control
  • Hiring Partners: access only with explicit, secondary Professional consent

6.4 Retention and Deletion

Recordings do not automatically expire. Recordings are retained unless deleted based on a valid deletion request, legal obligation, or policy enforcement.

6.5 Effect of Revoking Consent

Revoking sharing consent affects future access and distribution. It does not retroactively invalidate:

  • completed evaluations
  • evaluation outputs already issued
  • quality control records maintained for integrity and compliance

7. AI Resume Import Terms

AI Resume Import allows Professionals and Industry Experts to upload a PDF or DOCX resume to pre-populate their profile.

7.1 How It Works

  • Your resume file is read in your browser using client-side libraries. The file itself is never uploaded to any server. The extracted text is sent to Certyco's servers for AI-powered parsing and is discarded after processing.
  • Only the extracted text is sent to Certyco's backend, which forwards it to the Anthropic Claude API for structured parsing.
  • The AI returns structured data (experience, education, skills, certifications) which is stored temporarily in your browser session.
  • You review and approve each parsed section before anything is saved to your profile.
  • No resume files are stored on Certyco servers at any point. The extracted text is processed in memory and discarded after parsing.

7.2 Your Responsibilities

  • You are responsible for reviewing and confirming the accuracy of all AI-parsed data before applying it to your profile.
  • You must not upload resumes belonging to other individuals.
  • You must not upload fraudulent, falsified, or misleading documents.

7.3 Limitations

  • Certyco does not guarantee the accuracy or completeness of AI-parsed data. AI parsing is a best-effort service.
  • AI Resume Import extracts and maps existing resume data. It does not generate, fabricate, or suggest content.
  • Certyco is not responsible for errors in AI-parsed data that you approve and apply to your profile.

8. Conflicts of Interest and Integrity Controls

This section describes functionality planned for MVP Phase 1 (May 2026).

Certyco enforces integrity measures to preserve fairness:

  • Industry Experts cannot evaluate Professionals with whom they have a personal or professional relationship.
  • Industry Experts may decline evaluations involving current or recent employers, or organizations where a conflict of interest may exist.
  • Matching between Industry Experts and Professionals is based on role relevance, domain expertise, platform familiarity, and availability.
  • Industry Experts must act in good faith and follow any conflict disclosure or decline mechanisms available on the Platform.

Certyco may adjust these controls over time.

9. Profile Visibility, Unlocking, and Best-Effort Confidentiality

Certyco provides anonymized or limited profile previews and allows Hiring Partners to unlock profiles to access personal and contact details. We use reasonable safeguards to enforce visibility rules.

However, you acknowledge that no system can guarantee perfect access isolation, and users may sometimes infer identity through contextual information or interactions within organizations. Certyco will take reasonable steps to prevent unauthorized access, but cannot guarantee that a user will never be identified indirectly.

10. Discreet Mode (Privacy Feature)

This feature is planned for MVP Phase 1 (May 2026) and is not available during Early Access.

Certyco offers Discreet Mode, which allows:

  • Professionals to hide their profile from up to 2 specific companies
  • Industry Experts to hide their identity and details from Hiring Partners at the same employer

Discreet Mode is designed to prevent conflicts, protect careers, and preserve evaluation neutrality.

11. Fees, Payments, and Taxes

11.1 Early Access

During Early Access, no payment features are enabled. All currently available features are provided at no cost.

11.2 Future Paid Features (MVP Phase 1)

Payment features are planned for May 2026.

In later phases, Certyco will charge fees for certain services, including:

  • Professional evaluation fees
  • Hiring Partner profile unlocking (credit-based)
  • Industry Expert compensation for completed evaluations

Payment processing will be handled by Stripe. Pricing will be disclosed at the point of purchase.

You agree that:

  • taxes may apply depending on your jurisdiction
  • payment processing is handled by third-party providers subject to their own terms
  • refunds (if any) will follow the Platform's stated refund and purchase policy at the time of purchase

12. Intellectual Property and Platform Content

All Platform software, design, branding, and underlying systems belong to Certyco or its licensors. You may not copy, reverse engineer, scrape, exploit, or create derivative works of the Platform without written permission.

User-generated content (profiles, uploads, responses, etc.) remains owned by the user, but you grant Certyco a limited, non-exclusive license to host, display, process, and use it to operate the Platform and deliver services.

Data imported via AI Resume Import is user-generated content (imported from the user's own resume). The AI parsing provided by Certyco is a data processing service, not content generation. Certyco does not claim ownership of AI-parsed profile data.

Evaluation Content: Industry Experts assign all evaluation content (scores, written assessments, feedback, and supporting evidence) to Certyco upon submission. Industry Experts retain no intellectual property rights over evaluation content after submission. Professionals receive a non-exclusive, non-transferable license to view and reference their own evaluation results. Certyco owns the evaluation methodology, scoring framework, 4D Scorecard, and Certyco Mark.

Third-Party Names: By submitting profile content that includes employer names, educational institution names, or other third-party organization names, you grant Certyco permission to display these names in the context of your profile and evaluation results on the Platform. Certyco does not claim any affiliation with, endorsement by, or sponsorship from these organizations.

13. Prohibited Conduct

You agree not to:

  • impersonate others or misrepresent credentials
  • submit false information, forged documents, or fraudulent claims
  • use AI tools to generate fraudulent or misleading profile content
  • upload third-party resumes through AI Resume Import
  • harass, threaten, or abuse other users
  • attempt to access non-public data or bypass security controls
  • scrape or automate collection of Platform data
  • abuse rate limits or use automated access methods
  • circumvent platform access restrictions (including Early Access restrictions)
  • interfere with Platform performance or reliability

Violations may result in suspension, termination, or legal action.

14. Evaluation Disclaimers

Evaluation features are planned for MVP Phase 1 (May 2026).

Certyco evaluation outputs are informational signals based on structured evaluation processes. You acknowledge:

  • evaluations involve professional judgment and may not predict future job performance
  • Certyco does not guarantee employment outcomes
  • Hiring Partners remain fully responsible for their hiring decisions
  • Certyco is not liable for how Hiring Partners interpret or use evaluation outputs
  • each evaluation reflects one Industry Expert's professional opinion based on a single structured interview and should not be treated as a comprehensive assessment of a candidate's abilities
  • Certyco makes no representations about a candidate's overall suitability for any specific role, team, or organization

Evaluation Disputes

If you believe an evaluation contains inaccurate, unfair, or harmful content, you may submit a dispute by emailing support@certyco.com with your evaluation ID and a description of the specific claims you are disputing.

Upon receiving a dispute, Certyco will review the evaluation and may, at its discretion:

  • return the evaluation to the Industry Expert for revision
  • modify or remove specific content that does not meet Certyco's evaluation content guidelines
  • withdraw the evaluation entirely and issue a replacement credit for a new evaluation
  • determine that the evaluation meets Certyco's standards and decline the dispute with an explanation

Disputes related to scores alone (without claims of inaccuracy, unfairness, or harmful content) are not eligible for review. Evaluation scores reflect the Industry Expert's professional judgment based on the structured interview.

15. Early Access & Platform Limitations

Certyco is currently operating in Early Access. You acknowledge and agree that:

  • Feature availability is limited during Early Access. Only the features listed in Section 2 (“Currently Available”) are active.
  • No guarantee is made regarding specific feature timelines, launch dates, or the availability of any planned feature.
  • Data entered during Early Access (including profile data and AI Resume Import data) will be retained when additional features launch.
  • Platform access may be restricted during Early Access, including through access control mechanisms.
  • Features described in these Terms that are not yet live are clearly labeled with phase disclaimers. Obligations and rights related to those features take effect only when the relevant functionality becomes available.

16. Third-Party Services & OAuth

16.1 Third-Party Services

The Platform uses third-party services for authentication, data storage, email delivery, hosting, analytics, and AI processing. Current third-party services include:

  • Supabase: authentication and data storage
  • Google, LinkedIn, Microsoft: OAuth social login
  • Resend: email delivery
  • Vercel: hosting and analytics
  • Anthropic Claude API: AI Resume Import parsing
  • Stripe (planned for May 2026): payment processing

Certyco is not responsible for the availability, performance, or data practices of third-party services. Each third-party service operates under its own terms and privacy policy.

16.2 OAuth Acknowledgement

By signing in via Google, LinkedIn, or Microsoft, you acknowledge that:

  • your use of that provider's authentication service is subject to the provider's own terms of service and privacy policy
  • Certyco receives limited profile information (name, email, profile URL) from the OAuth provider
  • Certyco is not responsible for the OAuth provider's handling of your data

17. Termination

17.1 Termination by Certyco

We may suspend or terminate your account if:

  • you violate these Terms
  • we detect fraud, abuse, or harmful behavior
  • we are required to do so by law
  • continued access risks Platform integrity or user safety
  • repeated rate limit violations indicate automated or abusive access

17.2 Voluntary Termination

You may stop using the Platform at any time.

17.3 Account Deletion

You may request deletion of your account and personal data by emailing privacy@certyco.com. Upon receiving a valid deletion request, Certyco will deactivate your account and remove your personal data, subject to any legal retention obligations. See our Privacy Policy for details on data retention periods.

18. Limitation of Liability

To the maximum extent permitted by law:

  • Certyco is not liable for indirect, incidental, consequential, special, or punitive damages
  • Certyco is not liable for lost profits, lost opportunities, or reputational harm arising from Platform usage
  • Certyco is not liable for third-party actions, including the actions of Professionals, Industry Experts, or Hiring Partners

If liability cannot be excluded, our total liability is limited to the amount you paid to Certyco in the 12 months preceding the claim (or $100 USD if no payments were made). Subject to applicable local law.

19. Indemnification

You agree to indemnify and hold harmless Certyco and its affiliates from claims arising out of your misuse of the Platform, violations of these Terms, or infringement of third-party rights.

19.1 Industry Expert Protection (Limited Indemnification)

Certyco will provide reasonable protection to Industry Experts for claims arising from evaluations performed in good faith, following Certyco's framework, and without misconduct or conflicts violations. This protection does not apply to fraud, abuse, intentional wrongdoing, or violations of Platform rules.

20. Dispute Resolution: Arbitration and Class Action Waiver

20.1 Mandatory Arbitration

Subject to applicable local law, any dispute arising from or relating to these Terms or the Platform will be resolved through binding arbitration, not court. Where mandatory arbitration is prohibited by applicable law, disputes will be resolved in a competent court under the governing law specified in Section 21.

20.2 No Class Actions

You agree to bring claims only on an individual basis. You waive any right to participate in class actions, class arbitrations, or representative actions, to the extent permitted by applicable law.

20.3 Arbitration Provider and Process

Arbitration will be administered by a recognized arbitration provider and conducted in a commercially reasonable manner. Certyco may publish additional arbitration process details as part of Platform policies.

These dispute resolution provisions have not yet been reviewed by legal counsel and may be updated before Certyco's full public launch.

21. Governing Law and Regional Jurisdiction

These Terms are governed as follows, based on your primary location:

  • Canada: Province of Ontario, and applicable federal laws of Canada
  • United States: State of Delaware (and applicable federal laws)
  • India: Laws of India

Subject to applicable local law. If arbitration is not permitted for a specific claim, that claim must be brought in a competent court under the governing law above.

These governing law provisions have not yet been reviewed by legal counsel and may be updated before Certyco's full public launch.

22. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on the Platform and may be communicated via email where appropriate. Continued use after changes means you accept the updated Terms. The “Last Updated” date at the top of this page indicates when the Terms were last revised.
